Terms of Service

By accessing or using Innov8, you agree to these Terms of Service and our Privacy Policy.

If you use Innov8 on behalf of an agency, business, or other organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use Innov8.

Innov8 is a technology platform designed to support insurance agencies and related businesses with customer relationship management, lead management, policy information, service workflows, communications, documents, scheduling, reporting, automation, integrations, and other operational tools.

Features may differ by subscription plan, configuration, availability, jurisdiction, integration, or customer account.

Innov8 is a software technology platform. Unless expressly stated otherwise, Innov8 is not an insurance company, insurance carrier, insurance agency, broker, producer, claims administrator, law firm, accounting firm, or financial advisor.

Innov8 does not issue insurance policies, bind coverage, determine insurability, approve claims, establish insurance rates, or guarantee the accuracy or suitability of an insurance recommendation.

Insurance professionals remain responsible for complying with licensing requirements, carrier requirements, applicable laws, regulations, documentation obligations, and professional duties.

Users must provide accurate account information and maintain the security of their login credentials.

An organization is responsible for activity performed through accounts issued to its owners, employees, contractors, and other authorized users.

Users may not share credentials in a manner that bypasses applicable seat limits, security requirements, permissions, or subscription restrictions.

As between Innov8 and the subscribing organization, the organization retains its rights in customer, lead, policy, document, communication, and other business data submitted to Innov8.

The organization grants Innov8 the rights reasonably necessary to host, process, transmit, display, secure, back up, and otherwise handle that information for the purpose of operating and providing the service.

The organization is responsible for ensuring that it has the authority, permissions, notices, and consents necessary to enter or process information through Innov8.

Innov8 may allow users to connect third-party products or services, including calendar, email, communications, document, carrier, accounting, electronic-signature, telephony, or other systems.

A user's decision to connect a third-party service authorizes Innov8 to exchange information with that service as necessary to provide the requested integration.

Third-party services are governed by their own terms and policies. Innov8 does not control and is not responsible for the availability, security, functionality, pricing, or conduct of unaffiliated third-party providers.

If a user connects Google Calendar, Innov8 may access the Google account information, calendar list, calendar metadata, and event information authorized by the user.

Innov8 uses this access only to provide the requested calendar functionality and handles Google user data in accordance with the Innov8 Privacy Policy and applicable Google API policies.

Users may disconnect Google Calendar from Innov8 or revoke the authorization through their Google Account.

Innov8 may provide tools for email, SMS, voice, notifications, or other communications. The organization using those tools is responsible for ensuring that communications comply with applicable consent requirements, marketing laws, telecommunications rules, carrier requirements, opt-out requirements, and other applicable laws.

Users may not use Innov8 to send unlawful, fraudulent, deceptive, harassing, abusive, or unauthorized communications.

Innov8 may offer artificial intelligence, automation, recommendations, summaries, generated content, or other assistive features.

AI-generated or automated output may contain errors, omissions, or incomplete information. Users are responsible for reviewing material information and actions before relying on them in insurance, financial, legal, customer-service, or other consequential decisions.

Innov8 does not represent that AI-generated content constitutes legal, insurance, tax, financial, or other professional advice.

You may not use Innov8 to:

• Violate applicable law or regulation.
• Access or attempt to access information without authorization.
• Circumvent authentication, permissions, usage restrictions, security controls, or subscription limits.
• Upload malicious code or interfere with the operation or security of Innov8.
• Use Innov8 for fraud, impersonation, harassment, spam, or deceptive conduct.
• Reverse engineer or attempt to extract non-public source code except where such restriction is prohibited by law.
• Resell, sublicense, or commercially exploit Innov8 except as expressly authorized by Innov8.

Certain Innov8 features require a paid subscription. Applicable pricing, plan terms, included users or seats, usage limitations, trial periods, billing frequency, and other commercial terms may be presented in an order form, subscription page, agreement, or other purchasing process.

Customers are responsible for paying applicable fees and taxes when due.

Innov8 may restrict or suspend paid service access when amounts remain unpaid beyond applicable grace periods or as otherwise permitted by the applicable subscription agreement.

Innov8 may offer trial access. Trial features, duration, limits, and eligibility may vary.

Innov8 may modify or end trial programs and may restrict access after a trial expires unless the account transitions to an eligible paid plan.

Innov8 may add, modify, improve, replace, or discontinue features as the platform evolves.

We work to provide a reliable service but do not guarantee that Innov8 will operate without interruption, delay, degradation, security incident, third-party outage, or error.

Innov8 and its licensors retain all rights in the Innov8 platform, software, design, branding, technology, documentation, and other materials provided as part of the service, excluding customer-owned data.

These Terms do not transfer ownership of Innov8 intellectual property to the user or subscribing organization.

If you provide suggestions, ideas, or feedback regarding Innov8, you grant Innov8 permission to use that feedback to develop, improve, or operate the service without an obligation to compensate you, provided that doing so does not grant Innov8 ownership of your confidential business data.

Each party may receive non-public information belonging to the other. Where applicable, each party will use reasonable measures to protect confidential information and use it only for legitimate purposes related to the service or business relationship.

Innov8 may suspend or restrict access when reasonably necessary to address security risks, unlawful activity, material violation of these Terms, nonpayment, misuse, or threats to the platform or other users.

Customers may discontinue use of Innov8 subject to any applicable subscription, billing, data-retention, or contractual obligations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INNOV8 IS PROVIDED "AS IS" AND "AS AVAILABLE." INNOV8 DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LEGALLY BE DISCLAIMED.

Innov8 does not warrant that information supplied by users, third-party integrations, carriers, external providers, AI systems, or other sources is complete, accurate, current, or error-free.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INNOV8 WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR DATA ARISING FROM OR RELATING TO USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INNOV8'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID TO INNOV8 BY THE CUSTOMER FOR THE SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply.

To the extent permitted by law, an organization using Innov8 agrees to defend, indemnify, and hold Innov8 harmless from third-party claims, liabilities, damages, and reasonable costs arising from the organization's unlawful use of Innov8, violation of these Terms, infringement of third-party rights, or data submitted without required authorization.

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.

Innov8 may update these Terms as the service, business, technology, or legal requirements evolve.

Material changes will be reflected by updating the effective date and, when appropriate, providing additional notice.

Continued use of Innov8 after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

These Terms, the Privacy Policy, and any applicable order form, subscription agreement, data-processing agreement, or other written agreement between Innov8 and the customer constitute the agreement governing use of the service.
